01 Q: Why Berman Capital?

We provide value and accountability through our low retainer, success fee compensation structure.
02 Why should I explore selling my business now?
A: Many Private Equity firms and Strategic Corporate buyers are well capitalized and solely dedicated to making investment in well managed businesses.
03 Why should I entertain the sale of my business if it is doing well and I have no personal reason to sell?
A: Because of the fact that you are under no pressure, it is good practice to consider an acquisition/liquidity alternative, as this allows you to explore options that you might not otherwise have considered.
04 Why should I sell if I’m not ready at this stage to consider retirement?
A: As most business owners have a large percentage of their personal net worth in their company, transactions can be structured to reduce this portfolio concentration while maintaining a meaningful equity position.
05 Q: How do I ensure that my employees or competitors will not find out my company is for sale?
A: Besides gaining high valuation, our experience has shown that confidentiality is often at the top of the list of concerns raised by entrepreneurs, for a premature disclosure can be extremely problematic. As a result, we maintain a closely controlled process, clear all investors with you and require all parties to enter into a confidentiality agreement prior to the release of any proprietary information.
06 Q: How long are your engagement agreements?
A: Our engagement agreements usually have a term in the 12-24 month range, but are cancelable at any time, given advanced notice.
07 Q: What are your fees?
A: Our fee structure averages between 1.5% - 4% of enterprise value. We provide value and accountability through our low retainer, success fee compensation structure.
08 Q: In what geographic regions do you work?
A: Berman Capital represents clients and works with buyers across the US, Canada, Asia and Europe.
09 Q: What industries do you work with?
A: Berman Capital has experience covering a wide range of industries, from Rotational molding to Internet Service Providers. We focus initially on a company's financial position in order to determine whether a transaction is feasible.
10 What is my company worth?
A: Valuations are based on a combination of factors (size, growth prospects, industry, strategic fit) and typically involve a multiple of a company’s trailing 12 month EBITDA (Earning Before Interest, Taxes Depreciation and Amortization).
11 How long might it take to sell my company?
A: The length of time will vary but our experience shows that once the parties come to agreement on terms, the process usually takes no longer than 90 days. The total process usually falls in the month 6 to 9 month range.
